Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the website getpaidabroad.com (the "Site") and any services, tools, or content provided by Get Paid Abroad ("Company," "we," "us," or "our") through the Site (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Services.

2. Intellectual Property Rights

2.1 Ownership

The Services and all content, features, and functionality (including but not limited to text, graphics, logos, icons, images, audio clips, video, data compilations, software, and the design, selection, and arrangement thereof) are owned by Get Paid Abroad, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

2.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your internal business purposes. This license does not include any right to resell or commercially exploit the Services, collect or use any product listings, descriptions, or prices, make derivative uses of the Services or their contents, download or copy account information for the benefit of another party, or use data mining, robots, or similar data gathering or extraction tools.

2.3 User Content

You retain ownership of any content you submit to the Services, including invoice data, contract templates, and payment information ("User Content"). By submitting User Content, you grant us a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, and display such content solely for the purpose of providing the Services to you. You represent and warrant that you have all rights necessary to grant this license and that your User Content does not infringe the rights of any third party.

2.4 Feedback

If you provide feedback, suggestions, or ideas about the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate such feedback without compensation or attribution.

3. User Restrictions and Acceptable Use

3.1 Prohibited Conduct

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable law, including export control and sanctions laws.
  • Infringe the intellectual property or other rights of any third party.
  • Transmit any viruses, malware, or other harmful code.

3.2 Compliance with Laws

You are solely responsible for ensuring that your use of the Services, including the invoicing and payment features, complies with all applicable laws in your jurisdiction and the jurisdictions of your clients. This includes tax laws, anti-money laundering regulations, and currency exchange controls. We do not provide legal, tax, or accounting advice.

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.

4. Services Description and Limitations

Get Paid Abroad provides tools to assist freelancers and businesses in creating invoices, managing contracts, setting rates, and facilitating payments from international clients. We are not a bank, payment processor, or money transmitter. Payment processing is performed by third-party providers, and your use of such services is subject to their terms and conditions. We do not guarantee that any particular payment method will be available or that transactions will be completed.

Currency conversion rates displayed are estimates and may vary at the time of actual payment. We are not responsible for fluctuations in exchange rates or for fees charged by third parties.

5. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, GET PAID ABROAD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

6. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY INFORMATION PROVIDED THROUGH THE SERVICES, INCLUDING CURRENCY EXCHANGE RATES OR PAYMENT PROCESSING TIMES.

We are not responsible for the actions or omissions of third-party payment providers, banks, or clients. You acknowledge that international payments may be subject to delays, fees, and regulatory requirements beyond our control.

7. Indemnification

You agree to indemnify, defend, and hold harmless Get Paid Abroad and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your infringement of any third-party rights.

8. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in San Francisco County, California, and you consent to the personal jurisdiction of such courts.

9. Changes to Terms

We may revise these Terms from time to time in our sole discretion. If we make material changes, we will notify you by posting the updated Terms on the Site and updating the "Last Updated" date. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Services.

10. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will cease. Sections 2, 4, 5, 6, 7, 8, and 11 shall survive termination.

12. Miscellaneous

These Terms constitute the entire agreement between you and Get Paid Abroad regarding the Services and supersede all prior agreements. If any provision is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right or provision shall not be deemed a waiver. You may not assign these Terms without our prior written consent, but we may assign them without restriction. Nothing in these Terms creates a partnership, joint venture, or employment relationship.
